Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, tools, reports, and related services (collectively, the “Service”) operated by First Hospitality, LLC, an Illinois limited liability company (“First Hospitality,” “we,” “us,” or “our”), under the brand “Hotel Owner Toolkit” (the “Platform”).

By accessing the Platform, purchasing a report, or otherwise using the Service, you (“you” or “Buyer”) agree to these Terms. If you do not agree, do not use the Service.

1. The Service

The Platform offers analytical reports about hotel properties. Each report is generated by an automated pipeline using publicly available information about the property you specify, augmented by analytical models from Anthropic, PBC (“Anthropic”) and other vendors listed in our Privacy Policy. Reports are delivered as a PDF to the email address you provide at checkout.

You are responsible for downloading and saving your report. Each report is delivered as a downloadable PDF, and a secure download link is made available to you for seven (7) days from delivery. We do not guarantee that a report will remain accessible, or accessible in its exact original form, after that window. If you need a report after the link has expired, contact support@hotelownertoolkit.com and we will use reasonable efforts to regenerate it from saved source data; a regenerated report will be substantially similar but may not be identical to the report as originally delivered.

The Service is informational. Reports are intended to support owner-side decisions about a hotel asset. They are not investment advice, legal advice, tax advice, accounting advice, or professional services advice of any kind. They are not a substitute for advice from a licensed professional. You are solely responsible for any decision you make in reliance on a report.

We may add, modify, or discontinue tools or report types at any time. We will not retroactively change the substance of a report you have already purchased.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract under the laws of your jurisdiction to use the Service. If you are using the Service on behalf of a company, partnership, or other entity, you represent that you have authority to bind that entity.

3. Accounts and data you submit

You do not need an account to purchase a report. At checkout, you will provide the hotel name and URL of the property you want analyzed; an email address where the report will be delivered; optionally, your name and a list of competitor hotels; and payment information processed directly by Stripe. We never see or store your payment card details.

You are responsible for the accuracy of the information you submit. Do not submit information about a property you do not own, do not manage, or otherwise have no legitimate interest in analyzing. Submitting third-party properties for adversarial purposes is a breach of these Terms and may be a breach of applicable law.

4. Fees, payment, and refunds

Reports are sold as one-time purchases at the prices displayed on the Platform. Prices are in U.S. Dollars. Payment is processed by Stripe. By purchasing, you authorize Stripe to charge your payment method for the listed amount. Charges appear on your statement as FIRST HOSPITALITY · FH-C.

Refunds are governed by our Refund Policy. Briefly: each report carries a 30-day money-back guarantee subject to the standard and exclusions stated in that policy. We do not offer subscriptions; no recurring charges.

5. License to use the reports

Subject to your compliance with these Terms, First Hospitality grants you a worldwide, non-exclusive, non-transferable, non-sublicensable license to use each report you purchase for your internal business purposes and the internal business purposes of the entity that owns or manages the analyzed property, including reading and storing the report, sharing it with your asset management team, your operator, your investors, lenders, insurance providers, and your attorneys, accountants, and other professional advisors, and quoting from it in internal correspondence, board materials, or asset review meetings.

You may not: republish a report or substantial portions of it in any public-facing publication, marketing material, or press release without our prior written consent; use a report or any of our methodology in connection with a competing product or service; resell, sublicense, or commercially redistribute reports; submit a report to a generative AI training dataset; or remove or alter copyright, trademark, or proprietary notices.

We reserve all rights not expressly granted to you. Methodology, prompt design, scoring frameworks, and the visual design of reports are our intellectual property. Customer data is not used to train AI models. Anthropic's API does not retain or train on customer-submitted data, and we do not separately repurpose your data for model training.

7. Reports are analyses, not directives

Reports may identify operational, marketing, technical, or competitive issues at the analyzed property. Findings are presented as observations for your consideration as the asset owner or representative — not as instructions or recommendations to take any specific action against any third party, including any operator, manager, agent, vendor, or employee of the property.

In particular: nothing in any report should be construed as advising you to terminate, modify, breach, or otherwise interfere with any management agreement, franchise agreement, employment agreement, or other contract to which you or the analyzed property is a party.

8. Third-party information

Reports may include information about hotels other than the one you specify (for example, comparable properties or “comp set” hotels). All such information is drawn from publicly available sources. We do not access or use any non-public information about third-party properties. Concerns about accuracy or use: legal@firsthospitality.com.

9. Intellectual property

All content on the Platform — including the Service software, the visual design, the methodology, the report templates, the brand marks “First Hospitality” and “Hotel Owner Toolkit,” and all related trademarks and copyrights — is owned by First Hospitality or its licensors. The license you receive in §5 is the only license you have to our content.

10. Disclaimer of warranties

THE SERVICE AND THE REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by law, First Hospitality disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, timeliness, security, availability, suitability, and the absence of errors or omissions.

We do not warrant that any report is accurate, complete, current, or error-free; that any revenue impact estimate or finding will materialize, prove correct, or produce any particular result; that the Service will be uninterrupted, secure, or free from defects; or that AI-generated content is free from inaccuracies or “hallucinations.” You assume all risk of using reports and the Service. If you are dissatisfied, your sole remedy is the refund process described in §4 and the Refund Policy.

11. Limitation of liability

To the maximum extent permitted by law:

(a) In no event will First Hospitality, its affiliates, directors, officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to lost profits, lost revenue, lost data, lost goodwill, business interruption, cost of substitute services, or damage to reputation — arising out of or in connection with the Service, the reports, or these Terms, even if we have been advised of the possibility of such damages.

(b) Our total cumulative liability arising out of or relating to any single report will not exceed the price you paid for that report.

(c) Our total cumulative liability arising out of or relating to all reports and the Service generally over any 12-month period will not exceed the greater of (i) $500 or (ii) the total amount you paid us for reports during that 12-month period.

These limitations are a fundamental part of the bargain between you and us. Without them, the Service could not be offered at the prices we offer it.

12. Indemnification

You will defend, indemnify, and hold harmless First Hospitality, its affiliates, and their respective directors, officers, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Service or any report; your breach of these Terms; information you submit, including any claim that submitted property information was inaccurate or unauthorized; any decision you make in reliance on a report; or any third-party claim that your use of a report violated that third party's contractual or other legal rights.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation will be brought exclusively in the state or federal courts located in Cook County, Illinois. You and First Hospitality each consent to personal jurisdiction and venue in those courts.

Class action waiver. YOU AND FIRST HOSPITALITY EACH AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The right to a jury trial is preserved.

Time limit. Any claim arising out of these Terms must be brought within one (1) year of the date the claim accrued, or it is permanently barred.

14. Term, suspension, and termination

These Terms apply each time you use the Service. We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected violation of these Terms. Termination does not entitle you to any refund except as provided in the Refund Policy. Sections 5, 9, 10, 11, 12, 13, and 16 survive termination.

15. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent change. For material changes, we will provide notice on the Platform and, where reasonably practicable, by email to recent purchasers. Your continued use after a change takes effect constitutes acceptance.

16. General

Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, Cookie Notice, and any tool-specific Disclaimers presented at the point of purchase, are the entire agreement between you and First Hospitality.

Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later. Assignment. You may not assign these Terms without our prior written consent. We may assign in connection with a merger, acquisition, or sale of assets. No partnership. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Force majeure. We will not be liable for delays or failures arising from causes beyond our reasonable control.
